This Disclosure Statement(“Disclosure”) is issued and hosted by Nesse Technologies Inc. (“Nesse”, “we”, “our” or “us”), a company incorporated under the laws of the Province of Ontario, Canada, having its registered office at 151 Yonge Street, 11th Floor, Toronto, Ontario M5C 2W7, Canada.
This Disclosure is published in the interest of consumer transparency. It is intended to make clear the role of Nesse in the delivery of products and services that you may access via mobile applications and websites operated under the brand name ‘Aspora’ (formerly known as ‘Vance’) (the “Platform”)by Affiliates (as defined hereinafter) of Nesse.
1. About this Disclosure
1.1. This Disclosure describes the role of Nesse as a back-end service provider to its Affiliates.
1.2. This Disclosure is published for informational and corporate-transparency purposes only. It does not constitute, and shall not be construed as, an agreement, contract or undertaking between you and Nesse, and does not create any legal or contractual relationship between you and Nesse. By accessing or using thePlatform, you acknowledge the matters set out in this Disclosure for informational purposes only.
2. Definitions
The defined terms set out below are used by the Affiliate in the Affiliate Terms (as defined hereinafter) and across the Platform. They are reproduced here for reference only. The terms of the products and services denoted by these defined terms — including their availability, eligibility, fees, timing, limits, refund and chargeback policies, and complaints procedures — are set out in, and governed by, the Affiliate Terms.
2.1. “Affiliate(s)” means a company within the same corporate group as Nesse – that is, any company that owns Nesse, is owned by Nesse, or is under common ownership with Nesse (where ownership means holding more than 50% of the voting shares or otherwise controlling that company).
2.2. “Fiat-referenced Token” means a digital representation of value that is issued and transacted on distributed technology infrastructure, and is designed to maintain a consistent value by referencing the value of a government-issued currency (also known as fiat currency).
2.3. “Payment Partner(s)” means the licensed payment providers, banks, exchange houses and other third parties used by the Affiliate (directly or through Nesse) to process your payment, convert currencies, and deliver funds to your Recipient.
2.4. “PayoutAmount” means the final sum, after currency conversion handled by the Affiliate’s Payment Partner(s), that the Recipient receives.
2.5. “PrivacyPolicy” means: (a) for UK Users, Real Transfer Limited; (b) for UAE Users, Vance Technologies Limited; and (c) for US Users, Vance Money Services LLC.
2.6. “Recipient” means the person designated by the Sender to receive the Payout Amount.
2.7. “Sender”or “you” means theuser who instructs the Affiliate to send a payment to a Recipient.
2.8. “Termsof Service” means: means: (a) for UK Users, Real Transfer Limited; (b) for UAE Users, Vance Technologies Limited; and (c) for US Users, Vance Money Services LLC.
2.9. “Transaction” means money transfer you ask the Affiliate to make on your behalf, which the Affiliate carries out (directly or through its Payment Partners) by sending funds to your Recipient .
3. Role of Nesse
3.1. No service relationship between you and Nesse. Nesse is not your contracting counterparty for the products and services made available on the Platform. Nesse does not provide any services directly to you, including any remittance, payment, currency exchange, money transmission, financial, banking, investment, advisory or similar services, and does not hold customer funds or execute payment, remittance or other financial transactions. The products and services that you access through the Platform are provided to you exclusively by the relevant Nesse Affiliate that operates the Platform in your jurisdiction.
3.2. Your contract is with your Affiliate. Your contract for any product or service made available via the Platform (including, without limitation, account opening, payment-initiation, remittance, currency exchange and any related services) is between you and theAffiliate, and is governed by the Affiliate’s own Terms of Service, Privacy Policy and other consumer-facing terms (the “Affiliate Terms”). You should read the Affiliate Terms carefully before using the Platform.
3.3. Business support for Affiliates: Nesse acts solely as a business-to-business provider of operational, administrative and support services to its Affiliates. For the purposes of supporting those B2B arrangements, Nesse holds MoneyServices Business (MSB) registration with the Financial Transactions andReports Analysis Centre of Canada (FINTRAC) and has entered into arrangements with regulated Payment Partners to support its Affiliates in facilitating Transactions through such Payment Partners. For the avoidance of doubt, this registration is maintained solely in connection with Nesse’s B2B role and does not constitute, and should not be construed as, the provision of any remittance, payment, money transmission or other financial service by Nesse directly to you, unless otherwise disclosed by Nesse from time to time.
4. B2B support services to Affiliates
4.1. On a business-to-business basis, Nesse may make any one or more of the following available to an Affiliate (the “Back-End Services”):
(a) software, hosting, infrastructure and other technology that powers the Platform;
(b) integrations with regulated payment service providers and other third parties, including Payment Partners, who facilitate the conversion of fiat currency toFiat-referenced Token and the conversion of Fiat-referenced Token to fiat currency in the course of executing remittance transactions for the Affiliate’s customers;
(c) data processing, security, fraud-prevention and other operational support; and
(d) back-office functions used by the Affiliate.
5. Intellectual property
5.1. The Platform (including any software, source code, domains, content, designs and look-and-feel made available through the Platform) and ‘Aspora’ names, logos, icons and trade dress are owned by Vance Inc. (the holding company of Nesse and its Affiliates) and/or its licensors and are protected by copyright, trademark and other intellectual property laws. They are licensed to the relevant Affiliate on a business-to-business basis solely to enable theAffiliate to provide its services to you.
5.2. No right or licence is granted to you under this Disclosure in respect of the Platform or any intellectual property thereof. You must not copy, reverse engineer, modify, distribute, transmit, scrape, frame, mirror or otherwise exploit any part of the Platform, except as expressly permitted by theAffiliate Terms.
6. Personal data and data sharing between Nesse and Affiliates
6.1. The Affiliate is the controller. The Affiliate is responsible for your personal data. The Affiliate’s Privacy Policy explains what data is collected, how it is used, and how you can exercise your rights.
6.2. Nesse as processor. Where Nesse handles your personal data as part of its back-office support role, it does so only on behalf of and under the instructions of the Affiliate, in line with data protection law. Nesse will not use your data for any other purpose.
6.3. Where to exercise your rights. All requests in respect of your personal data — including access, rectification, erasure, restriction, portability and objection — should in the first instance be addressed to the Affiliate, in accordance with the Affiliate’s privacy notice.
7. No reliance; no warranty by Nesse
7.1. Information published by Nesse (including this Disclosure) is provided for general informational and corporate-transparency purposes only. To the maximum extent permitted by law, Nesse does not represent or warrant (whether expressly, impliedly or by statute) that any such information is accurate, complete, current, error-free or fit for any particular purpose.
7.2. Nothing in this Disclosure gives you any right to bring a claim against Nesse in respect of the products or services that the Affiliate provides to you. Such matters are governed exclusively by the Affiliate Terms and any applicable consumer-protection law.
8. Limitation of liability
8.1. To the maximum extent permitted by applicable law, Nesse, its Affiliates (other than, in respect of services provided to you by the Affiliate, that Affiliate), and each of their respective shareholders, directors, officers, employees and agents shall not be liable to you (whether jointly or severally, and on any theory of liability, including in contract, tort, statute or otherwise) for any direct, indirect, incidental, special, consequential, punitive or exemplary damages arising out of or in connection with:
(a) your access to or use of the Platform;
(b) any Transaction or any service provided by an Affiliate or by a Payment Partner;
(c) any act or omission of an Affiliate, a Payment Partner or any other third party;
(d) any reliance placed by you on any information published by Nesse; or
(e) the contents of, or any matter referred to in, this Disclosure.
8.2. Nothing in this Disclosure excludes or limits any liability that cannot be excluded or limited under applicable law (including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence).
9. Additional Fiat-referenced Token risks
9.1. You acknowledge that any Transaction executed by the Affiliate may use Fiat-referenced Token rails operated by the Affiliate’s Payment Partner(s). Without prejudice to the Affiliate Terms, you acknowledge that:
(a) transactions on Fiat-referenced Token infrastructure are typically irreversible once confirmed and may not be recoverable if executed by you in error or as a result of fraud;
(b) the value of Fiat-referenced Tokens may fluctuate; and
(c) legislative, regulatory or supervisory changes at any level may adversely affect the use, transfer, exchange or value of Fiat-referenced Tokens.
9.2. Liability for these risks is allocated between you and the Affiliate under the Affiliate Terms. Nesse has no liability to you in respect of these risks.
10. Complaints and disputes with Affiliates
Any complaint or dispute about products or services provided to you via the Platform should be raised in the first instance with the Affiliate, in accordance with the Affiliate’s complaints procedure set out in the Affiliate Terms. Nesse is not a party to such complaints or disputes and is not responsible for resolving them.
11. Restricted activities
You must not use the Platform in a way that violates applicable law, infringes any third party’s rights, undermines the integrity or security of the Platform, or breaches the Affiliate Terms. The Affiliate may suspend or terminate your access to the Platform in accordance with the Affiliate Terms. Nesse may be required to take action at the Affiliate’s direction or as required by applicable law.
12. Changes to this Disclosure
Nesse may update this Disclosure from time to time. The most current version will be available at the URL where this Disclosure is hosted. Material changes will be reflected in an updated “Last updated” date at the top of this Disclosure. Your continued use of the Platform after a change has been published constitutes acknowledgement of, and acceptance of, the updated Disclosure.
13. Governing law and jurisdiction
13.1. This Disclosure and any non-contractual obligations arising out of or in connection with it are governed by, and shall be construed in accordance with, the laws of the Province of Ontario and the federal laws of Canada applicable therein. The courts of Ontario shall have exclusive jurisdiction in respect of any dispute arising out of or in connection with this Disclosure.
13.2. For the avoidance of doubt, the governing law and forum applicable to your relationship with the Affiliate (and the products and services that the Affiliate provides to you) are set out in the Affiliate Terms, and are not affected by this clause.

All enquiries that relate to your account, your Transactions, your funds, refunds, complaints, data-protection rights, or any other matter concerning the products or services provided to you via the Platform should be addressed to the Affiliate using the contact details set out in the Affiliate Terms.
15. Acknowledgement
By accessing or using the Platform, you acknowledge that you have read and understood this Disclosure, that your contract for the products and services made available on the Platform is with the Affiliate (and not with Nesse), and that the Affiliate Terms — and not this Disclosure — govern those products and services.
